Welcome to Sedes. These Terms of Service ("Terms") govern your use of the Sedes website, platform, and services (collectively, the "Service") operated by Sedes Inc. ("Sedes," "we," "us," or "our"). By using our Service, you agree to these Terms. If you do not agree, please do not use Sedes.

We have written these Terms in plain English because we believe you should actually understand what you are agreeing to.

1. What Sedes Does

Sedes is a technology platform that helps you form and maintain business entities (such as LLCs) in the United States. Our services include:

• AI-guided business formation conversations
• State LLC and other entity filings
• EIN (Employer Identification Number) filing assistance
• AI-generated operating agreements
• Registered agent services
• Compliance monitoring and reminders
• Document storage and management

2. We Are Not a Law Firm

For specific legal, tax, or financial questions about your situation, we strongly recommend consulting a licensed attorney, CPA, or other qualified professional in your jurisdiction. We are happy to help you understand when professional advice may be appropriate.

3. Your Account

To use most features of Sedes, you need to create an account. When you do:

• You must provide accurate, complete information and keep it up to date.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately if you suspect unauthorized access to your account.
• You must be at least 18 years old to create an account and use our Service.

4. Payment Terms

Pricing

Our service fees are displayed on our pricing page. State filing fees vary by state and are shown to you before you complete any purchase. We do not add hidden fees or surprise charges.

Payment Processing

Payments are processed securely through Stripe. We do not store your full credit card information on our servers. By providing payment information, you authorize us to charge the applicable fees to your payment method.

Subscriptions

Our Shield, Fortress, and Global plans are billed annually. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will send you a reminder before your subscription renews.

5. Cancellation and Refunds

Subscription Cancellation

You can cancel your subscription at any time from your account dashboard. When you cancel, you will continue to have access to your plan features until the end of your current billing period.

Refund Policy

• Formation fees: Non-refundable once we have submitted your filing to the state. If your filing has not yet been submitted, you may request a full refund.
• State fees: Non-refundable, as these are paid directly to state agencies on your behalf.
• Subscription plans: Eligible for a pro-rated refund if you cancel within the first 30 days. After 30 days, no refund is issued but you retain access through the end of your billing period.
• Registered agent services: Pro-rated refund available for the unused portion of the service period.

6. Your Responsibilities

When using Sedes, you agree to:

• Provide truthful, accurate information for all filings and documents.
• Not use the Service for any unlawful purpose or to form entities for illegal activities.
• Respond promptly to our requests for information needed to complete your filings.
• Review documents and filings we prepare on your behalf before they are submitted.
• Maintain your own records and backups of important business documents.

7. Limitation of Liability

To the maximum extent permitted by law, Sedes and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the total amount you have paid to Sedes in the twelve (12) months preceding the claim.

We are not liable for delays or errors caused by state agencies, third-party services, or information you provide that is inaccurate or incomplete.

8. Intellectual Property

The Sedes name, logo, website design, AI technology, and all related content are owned by Sedes Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our Service without our written permission.

Documents we generate for you (such as operating agreements) are yours to use for your business purposes. We retain no ownership over your business documents or the information you provide.

9. Dispute Resolution

We hope we never have a dispute, but if we do, here is how we will handle it:

• Step 1: Contact us at support@sedesra.com. Most issues can be resolved through a simple conversation.
• Step 2: If we cannot resolve the issue informally within 30 days, either party may initiate binding arbitration through the American Arbitration Association.
• Step 3: Arbitration will be conducted in the English language and the decision will be final and binding.

You agree to resolve disputes on an individual basis. Class actions and class arbitrations are not permitted under these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal proceedings (outside of arbitration) shall be brought in the state or federal courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify you via email or through a prominent notice on our website.
• Give you at least 30 days to review changes before they take effect.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties.

Upon termination, we will provide you with reasonable access to download your documents and data. Provisions that by their nature should survive termination (such as limitation of liability and dispute resolution) will continue to apply.
