Forming an LLC in New York comes with a unique and often expensive requirement that catches many business owners off guard: the publication requirement. Within 120 days of formation, you must publish a notice of your LLC's formation in two newspapers for six consecutive weeks. What Is the Publication Requirement?

New York Limited Liability Company Law Section 206 requires that within 120 days of filing your Articles of Organization, you must publish a copy of or a notice about your LLC in two newspapers — one daily and one weekly — in the county where your LLC's office is located. The publication must run for six consecutive weeks.

After publication is complete, you must file a Certificate of Publication with the New York Department of State along with a $50 filing fee.

The cost varies dramatically by county. Newspaper publication rates are set by each paper, and in high-cost areas like New York City, they can be steep:

  • Manhattan (New York County): $1,000–$1,500+
  • Brooklyn (Kings County): $800–$1,200

If your registered agent is in Albany County, for example, publication might cost $300 instead of $1,500. This is legal — your LLC's office can be at your registered agent's address. If you fail to complete the publication requirement within 120 days, your LLC does not dissolve. However, it loses the ability to sue or defend lawsuits in New York state courts. Your LLC continues to exist, and you still have limited liability, but you effectively cannot access the court system until you comply.
